Bruno IQ Customer User Agreement

This Bruno IQ Customer User Agreement (this “Agreement”) is a legally binding agreement between Filibruno LLC, a Wyoming limited liability company doing business as Bruno IQ (“Bruno IQ,” “Bruno,” “we,” “us,” or “our”), and the business or organization purchasing or using the Bruno IQ platform (“Customer,” “you,” or “your”).
By purchasing a subscription, creating an account, checking the box indicating acceptance of this Agreement, or otherwise accessing or using Bruno IQ, the individual accepting this Agreement represents and warrants that:
- the individual is at least eighteen (18) years old;
- the individual is accepting this Agreement on behalf of a business or other commercial organization;
- the individual has the legal authority to bind that business or organization to this Agreement; and
- the Customer has read, understands, and agrees to be bound by this Agreement.
Bruno IQ is offered solely for business and employer use. It is not offered for personal, household, or consumer purposes.
If you do not agree to this Agreement, you may not purchase, access, or use Bruno IQ.
1. BRUNO IQ
1.1 The Platform
Bruno IQ is an AI-powered hiring intelligence and applicant evaluation platform designed to assist employers in evaluating applicants and making more informed hiring decisions.
Depending on the features selected or made available to Customer, Bruno IQ may provide functionality that allows Customer to:
- define positions, responsibilities, qualifications, duties, and performance expectations;
- create or assist with job descriptions and job-related materials;
- receive and review applicant information and resumes;
- screen resumes and application materials;
- establish job-related evaluation criteria;
- conduct structured first-round applicant screening;
- collect written applicant responses;
- conduct and record audio and/or video applicant interviews when the applicant elects to participate;
- transcribe applicant interviews;
- analyze resumes, application materials, written responses, audio, video, transcripts, and other applicant information;
- generate applicant scores, evaluations, summaries, findings, comparisons, and reports;
- identify information that may warrant additional employer review;
- organize and prioritize applicants for Customer's consideration;
- generate or recommend questions for subsequent interviews;
- assist Customer with defining role expectations, key performance indicators, onboarding objectives, or 30/60/90-day plans; and
- provide other hiring intelligence and related functionality that Bruno IQ may introduce from time to time.
The specific functionality available within Bruno IQ may change as the platform develops.
1.2 Bruno IQ Is a Decision-Support Tool
Bruno IQ provides information, analysis, and decision support.
Bruno IQ is not the employer, hiring manager, recruiter of record, employment agency, legal advisor, background screening company, or ultimate decision-maker with respect to any applicant.
Bruno IQ does not hire applicants, approve applicants for employment, or reject applicants from employment.
Customer remains solely responsible for determining:
- who should be considered for employment;
- who should advance in Customer's hiring process;
- who should receive additional interviews;
- who should be rejected;
- who should receive an offer;
- the terms and conditions of any employment;
- whether an applicant is qualified or appropriate for a particular position; and
- all other employment and personnel decisions.
1.3 No Automatic Hiring or Rejection Decisions
Bruno IQ does not automatically hire, approve, advance, or reject an applicant on behalf of Customer.
Scores, rankings, recommendations, flags, summaries, evaluations, and other outputs generated by Bruno IQ are informational tools only.
Customer must independently review relevant applicant information and make its own employment decisions.
If Bruno IQ sends a rejection or other status communication to an applicant, such communication occurs only after Customer has affirmatively made the applicable decision and instructed the platform to communicate that decision.
The transmission of a Customer-selected communication through Bruno IQ does not mean that Bruno IQ made, recommended, or independently approved the underlying employment decision.
1.4 No Guarantee of Results
Bruno IQ does not guarantee that:
- an applicant will be qualified;
- an applicant will perform successfully;
- an applicant will remain employed for any particular period;
- an applicant will meet Customer's expectations;
- Customer will make a successful hire;
- using Bruno IQ will reduce turnover;
- using Bruno IQ will improve Customer's financial performance;
- any score, ranking, evaluation, transcription, summary, or recommendation will be error-free; or
- Bruno IQ will identify every relevant fact concerning an applicant.
Hiring involves human judgment and information that may not be available to Bruno IQ. Customer accepts responsibility for conducting whatever additional evaluation and due diligence Customer believes appropriate before making an employment decision.
2. ARTIFICIAL INTELLIGENCE AND HUMAN REVIEW
2.1 AI-Assisted Analysis
Bruno IQ uses artificial intelligence, automated analysis, algorithms, software, and related technologies to process information and produce hiring intelligence.
Outputs may include, among other things:
- scores;
- rankings;
- summaries;
- evaluations;
- transcripts;
- observations;
- comparisons;
- identified strengths;
- identified concerns;
- inconsistencies;
- interview analysis;
- suggested questions; and
- other generated information.
Customer understands that artificial intelligence and automated systems are probabilistic technologies and may produce incomplete, inaccurate, misleading, inconsistent, or incorrect results.
2.2 Human Review Required
Customer agrees that Bruno IQ will be used to support human decision-making rather than replace it.
Customer will use reasonable human review when considering Bruno IQ outputs and will not blindly or exclusively rely upon an AI-generated score, ranking, summary, evaluation, recommendation, or other output when making an employment decision.
Customer is responsible for evaluating the relevance, accuracy, appropriateness, and legality of information generated through Bruno IQ before relying upon it.
2.3 Customer Controls Hiring Criteria
Customer is responsible for the positions it creates, the qualifications and criteria it establishes, the information it provides to Bruno IQ, and the manner in which Customer uses Bruno IQ's outputs.
Customer will not intentionally establish or instruct Bruno IQ to apply criteria that are unlawful or unlawfully discriminatory.
2.4 No Legal or Compliance Advice
Information provided through Bruno IQ does not constitute legal, human resources, tax, regulatory, employment, immigration, or other professional advice.
Features intended to assist with hiring practices or compliance do not constitute a representation or guarantee that Customer's hiring process complies with every law applicable to Customer.
Customer is responsible for obtaining its own professional advice where appropriate.
3. CUSTOMER RESPONSIBILITY FOR EMPLOYMENT DECISIONS
3.1 Customer Is the Employer
Customer, and not Bruno IQ, is responsible for all employment-related decisions and activities.
This responsibility includes compliance with laws relating to:
- discrimination;
- equal employment opportunity;
- disability accommodation;
- hiring;
- interviewing;
- employment applications;
- applicant notices;
- automated employment decision tools;
- artificial intelligence used in employment;
- privacy;
- biometric information;
- audio and video recording;
- data protection;
- record retention;
- employment eligibility;
- work authorization; and
- any other laws applicable to Customer's hiring activities.
3.2 Prohibited Discrimination
Customer may not use Bruno IQ to intentionally discriminate against an applicant on the basis of any characteristic protected by applicable law.
Customer may not instruct Bruno IQ to consider information that Customer would be prohibited from considering directly.
Customer remains responsible for ensuring that its hiring criteria, review process, employment decisions, and use of Bruno IQ comply with applicable anti-discrimination and employment laws.
3.3 Independent Review
Customer agrees to independently review applicants before making final employment decisions and to consider whether additional information, interviews, accommodations, explanations, or other review may be appropriate.
A Bruno IQ score or evaluation should never be interpreted as a command to hire or reject an applicant.
4. APPLICANT PARTICIPATION
4.1 Applicant Options
Bruno IQ may allow applicants to participate through one or more methods, including:
- video interview;
- audio interview; or
- resume/application-based or written screening without audio or video.
Applicants are not required by Bruno IQ to participate in an audio or video interview if an alternative screening method is available through the applicable workflow.
4.2 Applicant Notice
Before an applicant participates in functionality involving recording or AI-assisted processing, Bruno IQ may provide the applicant with disclosures concerning the applicable process, including notice that:
- audio and/or video may be recorded;
- artificial intelligence or automated technology may be used to process or analyze information; and
- applicant information may be processed through the Bruno IQ platform.
Where Bruno IQ presents a consent mechanism, an applicant must provide the required consent before the applicable recording or processing begins.
4.3 Applicant Declines Audio, Video, or AI Processing
If an applicant does not consent to applicable audio, video, or AI-assisted processing, Bruno IQ may allow that applicant to submit a resume or other application information and continue through an alternative process without the declined functionality.
Customer agrees not to treat an applicant's decision to use an available alternative Bruno IQ workflow as, by itself, evidence that the applicant is less qualified.
4.4 Customer's Independent Notice Obligations
Bruno IQ may provide platform-level notices and consent mechanisms, but Customer remains responsible for determining whether additional disclosures, notices, consents, accommodations, or alternative procedures are required based upon:
- Customer's location;
- the applicant's location;
- the position;
- Customer's hiring process; or
- applicable law.
Customer agrees to provide any additional legally required notices or obtain any additional legally required consents that are not expressly handled by Bruno IQ.
Bruno IQ's provision of a disclosure or consent mechanism does not constitute legal advice or a guarantee that such disclosure or mechanism independently satisfies every law applicable to Customer.
5. ELIGIBILITY AND AUTHORIZED USE
5.1 Business Use Only
Bruno IQ may only be purchased and used by businesses, employers, and other organizations for their own internal hiring activities.
Bruno IQ is not intended for consumer use.
5.2 Adult Applicants
Bruno IQ is intended for use in connection with applicants who are eighteen (18) years of age or older.
Customer may not knowingly use Bruno IQ to evaluate applicants under eighteen (18).
5.3 Prohibited Agency and Recruiter Use
Unless Bruno IQ provides prior written authorization, Customer may not use a standard Bruno IQ subscription to provide recruiting, staffing, applicant screening, HR consulting, or similar services to third parties.
Recruiting agencies, staffing agencies, headhunters, consultants, outsourcing providers, or other third parties may not purchase a standard subscription and use that subscription to evaluate candidates on behalf of multiple clients.
Any authorized agency, reseller, partner, or third-party arrangement must be separately approved in writing by Bruno IQ and may be subject to additional terms and pricing.
5.4 No Resale or White Labeling
Customer may not:
- resell Bruno IQ;
- sublicense Bruno IQ;
- rent access to Bruno IQ;
- white-label Bruno IQ;
- commercially distribute Bruno IQ access;
- provide Bruno IQ as a service to third parties; or
- permit an unauthorized third party to commercially benefit from Customer's subscription,
unless Bruno IQ expressly agrees otherwise in writing.
6. SUBSCRIPTIONS
6.1 Standard Monthly Subscription
Unless otherwise stated on an applicable order form or checkout page, Bruno IQ's standard monthly subscription is:
$497 per month.
Monthly subscriptions are billed in advance and renew automatically each month until canceled.
There is no long-term commitment associated with the standard month-to-month subscription.
6.2 Annual Subscription
Bruno IQ may offer an annual prepaid subscription for:
$4,764 per year.
The annual subscription is billed in advance for the full twelve-month subscription period.
Annual subscriptions are non-refundable after payment except where required by law or expressly agreed otherwise by Bruno IQ in writing.
If Customer cancels an annual subscription before the end of the prepaid annual term:
- Customer will not receive a refund or prorated credit for the unused portion of the annual term;
- Customer may continue using Bruno IQ through the end of the prepaid annual subscription period, provided the account remains in compliance with this Agreement; and
- the subscription will not renew for another annual term after the then-current annual term expires.
6.3 Automatic Renewal
Monthly and annual subscriptions automatically renew for successive periods corresponding to the Customer's selected subscription term unless Customer cancels before the next renewal date.
Customer authorizes Bruno IQ and its payment processor to charge the payment method on file for applicable subscription fees, usage charges, overages, taxes, and other amounts Customer has agreed to pay.
6.4 Pricing Changes
Bruno IQ may change subscription pricing, included usage, overage rates, or other recurring charges by providing Customer at least thirty (30) days' advance notice.
Pricing changes will apply prospectively and will not retroactively alter amounts already paid.
For prepaid annual subscriptions, an increase to the base annual subscription price will ordinarily take effect upon the next annual renewal unless otherwise disclosed or agreed.
6.5 Taxes
Prices do not include applicable sales, use, excise, value-added, withholding, or similar taxes unless expressly stated otherwise.
Customer is responsible for applicable taxes associated with its purchase and use of Bruno IQ, excluding taxes based solely upon Bruno IQ's net income.
7. LOCATION-BASED SUBSCRIPTIONS
7.1 One Subscription Per Location
Each standard Bruno IQ subscription covers one business location.
A Customer operating multiple locations must maintain a separate subscription for each location using Bruno IQ unless Bruno IQ has expressly approved a different arrangement in writing.
Ownership of multiple businesses or locations by the same individual, parent company, holding company, franchisee, franchisor, or affiliated organization does not automatically permit those businesses or locations to share one subscription.
7.2 Separate Businesses
If an owner operates multiple separate businesses, each applicable business location must maintain its own Bruno IQ subscription.
Customer may not combine unrelated businesses into a single subscription for the purpose of avoiding subscription fees or usage limits.
7.3 Franchise Locations
Franchise locations are treated as individual business locations for standard Bruno IQ subscriptions.
Unless Bruno IQ enters into a separate written enterprise, franchisor, network, or master agreement, each franchise location using Bruno IQ must have its own authorized subscription.
A franchisor's purchase of Bruno IQ does not automatically grant access rights to all franchisees, and a franchisee's subscription does not grant access to other franchisees.
7.4 Enterprise Arrangements
Bruno IQ may separately negotiate enterprise, franchisor, multi-location, network, or other custom arrangements.
Those arrangements may have different:
- pricing;
- usage limits;
- location rights;
- administrative permissions;
- features;
- implementation requirements; or
- contractual terms.
If Customer enters into a separate written order form, master services agreement, enterprise agreement, or similar agreement with Bruno IQ, that written agreement will control to the extent it expressly conflicts with this Agreement.
8. USERS, SEATS, AND ACCOUNT SECURITY
8.1 Unlimited Authorized Users
A standard subscription may include an unlimited number of authorized user seats for personnel legitimately associated with the subscribed business location, subject to this Agreement.
Unlimited seats do not mean unlimited businesses or locations.
8.2 Authorized Users
Customer may provide access only to employees, owners, managers, contractors, or other personnel who have a legitimate business need to use Bruno IQ on behalf of the subscribed location.
Customer is responsible for all activity occurring through its account and authorized users.
8.3 Credential Sharing
Login credentials may not be:
- publicly shared;
- shared with another business or location;
- shared with unauthorized third parties;
- sold;
- rented;
- transferred; or
- otherwise used to circumvent Bruno IQ's subscription model.
Customer must use reasonable measures to protect login credentials and account access.
8.4 Unauthorized Access
Customer must promptly notify Bruno IQ if Customer knows or reasonably suspects that:
- credentials have been compromised;
- an unauthorized person has accessed the account;
- account information has been stolen; or
- Customer's account is otherwise being misused.
Bruno IQ may temporarily suspend access where reasonably necessary to protect Customer, applicants, Bruno IQ, or the security of the platform.
9. INCLUDED RESUME SCREENS AND OVERAGES
9.1 Included Screening
Each standard Bruno IQ subscription includes up to:
250 resume screens per monthly billing period.
The allowance resets at the beginning of each monthly billing period.
Unused screens do not roll over into future months.
For annual subscribers, the included allowance remains 250 resume screens per month and is not converted into or pooled as an annual allowance of 3,000 screens.
9.2 Overage Charges
Resume screens exceeding the included 250 screens during a monthly billing period are charged at:
$1.00 per additional resume screen.
Customer authorizes Bruno IQ to automatically charge the payment method on file for applicable screening overages.
9.3 No Other Standard Usage Limits
Unless Bruno IQ states otherwise in the applicable subscription description, order form, or written agreement, the standard subscription does not impose predetermined numerical limits on other ordinary platform functionality such as:
- authorized user seats;
- active roles;
- applicant interviews;
- video interviews; or
- applicant evaluations,
subject to reasonable-use requirements, technical limitations, security controls, and the restrictions contained in this Agreement.
Unlimited or unmetered functionality may not be used for resale, agency use, unauthorized third-party processing, abusive automated activity, or other activity intended to circumvent Bruno IQ's pricing model.
10. TRIAL AND PROMOTIONAL OFFERS
10.1 Offers and Offer Terms
Bruno IQ may from time to time offer eligible Customers a trial, introductory, or promotional offer (an "Offer").
The specific terms of each Offer, including its price, length, what is included, whether any fee is credited toward a later charge, whether any fee is refundable, and the subscription and price the Offer converts to, are the terms presented to Customer when Customer applies for, registers for, or accepts the Offer, whether on a Bruno IQ web page, order form, checkout screen, or written confirmation (the "Offer Terms").
The Offer Terms are incorporated into this Agreement. If the Offer Terms conflict with this Section 10, the Offer Terms control for that Offer.
Offers may be changed or withdrawn at any time. A change does not affect an Offer that Customer has already accepted.
10.2 Eligibility
Unless the Offer Terms state otherwise, Offers are intended for businesses that are actively hiring for a current position and intend to evaluate Bruno IQ using an actual hiring workflow.
A valid payment method is required to begin an Offer.
10.3 Offer Start Date
The Offer period begins when Customer provides the required payment information and the account is activated.
The Offer period does not begin when Customer completes onboarding or launches its first position.
10.4 Onboarding
Customers on an Offer are expected to complete onboarding with the Bruno IQ team within two (2) days after the Offer period begins.
Bruno IQ may assist Customer with configuring its first live role and using Bruno IQ with Customer's current hiring process.
Failure to complete onboarding within two days does not pause, restart, or extend the Offer period.
10.5 One Offer Per Business Location
Unless Bruno IQ expressly approves otherwise, each business location is eligible for only one trial or introductory Offer.
Customer may not obtain additional Offers by:
- creating additional accounts;
- using different email addresses or payment methods;
- having another owner, employee, or representative register;
- creating accounts under affiliated entities; or
- otherwise attempting to circumvent the one-Offer limitation.
Bruno IQ may terminate an Offer or charge the applicable subscription fee if it reasonably determines that Customer is attempting to abuse an Offer.
10.6 Offer Fees
If the Offer Terms include a fee for the Offer period, Customer authorizes Bruno IQ to charge that fee to the payment method on file when the Offer begins.
Unless the Offer Terms state otherwise, Offer fees are non-refundable, including if Customer cancels during the Offer period.
If the Offer Terms state that an Offer fee is credited toward a later charge, the credit is applied only if Customer's Offer converts to a paid subscription. The credit has no cash value.
10.7 Automatic Conversion to Paid Subscription
Unless Customer cancels before the Offer period expires, the Offer will automatically convert to the paid subscription, at the price and billing interval, stated in the Offer Terms or selected by Customer at registration or conversion.
Customer authorizes Bruno IQ to charge the payment method on file when the Offer period ends and thereafter in accordance with that subscription, until Customer cancels.
10.8 Cancellation During an Offer
Customer may cancel at any time before the Offer period expires and will not be charged the subscription fee the Offer would have converted to.
Cancellation does not entitle Customer to a refund of any Offer fee or of any separate charges Customer incurred during the Offer period.
11. BILLING, PAYMENT, CANCELLATION, AND REFUNDS
11.1 Automatic Billing
Customer authorizes Bruno IQ and its payment processors to automatically charge the payment method on file for:
- subscription fees;
- resume-screening overages;
- applicable taxes; and
- other charges expressly authorized by Customer.
Monthly subscriptions are charged in advance each month.
Annual subscriptions are charged in advance for the full annual term.
11.2 Monthly Cancellation
Monthly subscriptions may be canceled at any time.
When Customer cancels a monthly subscription:
- cancellation prevents the next recurring subscription charge;
- Customer will not be billed for another monthly subscription period;
- Customer's access to Bruno IQ may terminate immediately upon cancellation; and
- amounts already paid for the current billing period are not refunded or prorated.
Customer should download any reports or information Customer wishes to retain before canceling.
11.3 Annual Cancellation
Annual subscriptions may be canceled at any time to prevent renewal.
Cancellation of an annual subscription does not result in a refund or prorated credit for the unused portion of the prepaid annual term.
Unless Bruno IQ suspends or terminates the account for violation of this Agreement, an annual Customer that cancels may continue using Bruno IQ through the end of its prepaid annual term.
The annual subscription will then expire rather than renew.
11.4 No Refunds
Except where required by applicable law or expressly agreed otherwise by Bruno IQ in writing, payments are non-refundable.
This includes:
- monthly subscription payments;
- annual subscription payments;
- resume-screening overages;
- partially used billing periods;
- unused subscription time; and
- Customer's failure to use available features.
Customer's decision not to use Bruno IQ after purchasing a subscription does not create a right to a refund.
11.5 Failed Payments
Customer must maintain a valid payment method.
If a payment fails, Bruno IQ may retry the payment method.
Bruno IQ may suspend Customer's access after a failed payment and may maintain the suspension until all outstanding amounts are paid.
Suspension for nonpayment does not waive amounts Customer already owes.
11.6 Chargebacks and Payment Disputes
Customer agrees to contact Bruno IQ at hello@brunoiq.com in good faith regarding a disputed charge before initiating an improper chargeback or payment reversal.
Bruno IQ may suspend or terminate an account if Customer initiates a fraudulent, abusive, or improper chargeback or payment dispute.
Nothing in this Section prevents Customer from exercising rights that cannot legally be waived.
11.7 Amounts Incurred Before Cancellation
Cancellation does not eliminate charges properly incurred before cancellation.
For example, Customer remains responsible for resume-screening overages incurred before the account was canceled, even if those charges are processed after cancellation.
12. CHANGES TO PRICING AND SUBSCRIPTIONS
12.1 Pricing Changes
Bruno IQ may modify its subscription pricing, included usage, overage pricing, or other recurring charges by providing at least thirty (30) days' advance notice.
Changes will apply prospectively.
12.2 Monthly Customers
For monthly Customers, changed pricing may take effect beginning with a renewal occurring after the applicable notice period.
If Customer does not wish to continue at the new price, Customer may cancel before the new pricing takes effect.
12.3 Annual Customers
Changes to the base annual subscription price will generally apply at Customer's next annual renewal rather than during an already-paid annual term.
Usage-based charges or newly purchased optional services may be subject to then-current pricing as disclosed when applicable.
12.4 Changes to Features
Bruno IQ is an evolving software platform.
Bruno IQ may add, modify, replace, improve, or discontinue features from time to time.
Bruno IQ does not guarantee that every feature available when Customer first subscribes will remain unchanged indefinitely.
Bruno IQ will not use this provision to eliminate Customer's access to the fundamental paid service during a prepaid term without providing an appropriate remedy where required by applicable law.
13. CUSTOMER AND APPLICANT DATA
13.1 Customer Content
Customer retains ownership of materials Customer provides to Bruno IQ, including Customer-created:
- job descriptions;
- hiring criteria;
- interview questions;
- role requirements;
- notes;
- documents;
- performance expectations;
- KPIs; and
- other Customer-created content.
Customer grants Bruno IQ a non-exclusive right to host, store, copy, process, analyze, transmit, display, and otherwise use Customer Content as reasonably necessary to provide, secure, maintain, support, and improve the Bruno IQ service.
13.2 Applicant Data
Bruno IQ may collect and process information relating to applicants, including:
- names and contact information;
- resumes;
- application information;
- written responses;
- audio recordings;
- video recordings;
- interview transcripts;
- employment history;
- qualifications;
- applicant communications; and
- other information submitted through or processed by Bruno IQ.
Applicant Data may also include Bruno IQ-generated analysis associated with an applicant.
Customer acknowledges that Applicant Data may constitute personal information subject to privacy, employment, recording, artificial-intelligence, or other applicable laws.
13.3 Customer Access to Applicant Data
While Customer maintains an active and authorized account, Customer may access Applicant Data made available through Bruno IQ for Customer's legitimate internal hiring purposes.
Customer may download reports, scores, summaries, evaluations, and other information made available for download through the platform.
Customer may not sell Applicant Data or use Applicant Data for unlawful purposes.
13.4 Rights Necessary to Provide the Service
Customer authorizes Bruno IQ to collect, store, process, analyze, transmit, and otherwise use Applicant Data as reasonably necessary to:
- provide the Bruno IQ service;
- perform applicant screening and analysis;
- generate reports and hiring intelligence;
- maintain platform functionality;
- provide Customer support;
- prevent fraud and abuse;
- maintain security;
- comply with legal obligations; and
- enforce this Agreement.
Nothing in this Agreement gives Customer ownership of Bruno IQ's underlying software, algorithms, scoring systems, methodologies, models, or other intellectual property.
14. DATA RETENTION AND DELETION
14.1 Access Following Cancellation
Customer's ability to access Applicant Data and other information through Bruno IQ may end immediately when a monthly subscription is canceled or otherwise terminated.
Customer is responsible for downloading information Customer wishes to retain before canceling its account.
For prepaid annual Customers that cancel future renewal but retain access through the remainder of the annual term, access may continue until that prepaid term expires.
14.2 Retention Following Account Termination
Following expiration or termination of Customer's access, Bruno IQ may retain Customer Content and Applicant Data for up to ninety (90) days before deleting or anonymizing the information from active systems.
Bruno IQ may retain information for a longer period where reasonably necessary to:
- comply with law;
- respond to legal process;
- resolve disputes;
- enforce agreements;
- investigate fraud or security incidents;
- maintain legitimate business records; or
- comply with applicable record-retention obligations.
Information may also remain temporarily in routine backups until those backups are overwritten or deleted through Bruno IQ's ordinary backup processes.
14.3 Deletion Requests
Customer may request deletion of Customer Content or Applicant Data by contacting Bruno IQ.
Bruno IQ will process valid deletion requests subject to applicable law, legitimate security requirements, technical limitations, contractual obligations, and information Bruno IQ is legally permitted or required to retain.
14.4 No Guaranteed Recovery
After information has been deleted, Bruno IQ does not guarantee that it can be recovered.
Customer is responsible for maintaining copies of reports or information Customer is legally or operationally required to retain.
15. USE OF DATA FOR AI AND PRODUCT IMPROVEMENT
15.1 No Training on Identifiable Customer or Applicant Data
Under Bruno IQ's current practices, Bruno IQ does not use identifiable Customer Content or identifiable Applicant Data to train general-purpose artificial intelligence models.
Bruno IQ may change its practices in the future only in accordance with applicable law and any notices, consents, or updates to its contractual and privacy terms that are required at that time.
15.2 Aggregated and De-Identified Information
Bruno IQ may create and use aggregated, statistical, or de-identified information derived from use of the platform, provided that such information does not reasonably identify Customer or an individual applicant.
Bruno IQ may use such information for legitimate business purposes, including:
- analytics;
- security;
- product development;
- product improvement;
- performance measurement;
- benchmarking;
- research;
- understanding hiring trends; and
- improving Bruno IQ's services.
Bruno IQ may retain and use properly aggregated or de-identified information after Customer's subscription ends.
16. SENSITIVE INFORMATION
16.1 Unnecessary Sensitive Information
Customer will not intentionally use Bruno IQ to collect sensitive information that is unnecessary for legitimate hiring purposes.
Unless specifically authorized by Bruno IQ and lawful for the applicable hiring purpose, Customer should not request applicants to provide information such as:
- Social Security numbers;
- bank account information;
- payment card information;
- medical records;
- health information unrelated to a lawful employment requirement;
- passwords;
- financial account credentials; or
- information concerning legally protected characteristics that Customer is prohibited from considering in an employment decision.
16.2 Customer Responsibility
Customer is responsible for the information it asks applicants to provide and for ensuring that collection and use of that information is lawful.
If Customer becomes aware that prohibited or unnecessary sensitive information has been submitted through Bruno IQ, Customer should notify Bruno IQ when appropriate so the information can be addressed.
16.3 Services Bruno IQ Does Not Provide
Unless Bruno IQ expressly states otherwise in a separate written agreement, Bruno IQ does not perform:
- criminal background checks;
- consumer reports;
- credit checks;
- drug testing;
- reference checks;
- employment verification;
- Form I-9 verification;
- immigration verification; or
- work-authorization verification.
Customer is responsible for obtaining any such services separately when required or desired.
17. BRUNO IQ INTELLECTUAL PROPERTY
17.1 Bruno IQ Ownership
As between Customer and Bruno IQ, Bruno IQ and its licensors retain all right, title, and interest in and to the Bruno IQ platform and related intellectual property.
This includes, without limitation:
- software;
- source code;
- object code;
- algorithms;
- models;
- prompts and prompt structures;
- scoring systems;
- evaluation methodologies;
- workflows;
- interview methodologies;
- platform architecture;
- databases and database structures;
- user-interface designs;
- documentation;
- processes;
- trademarks;
- branding;
- proprietary know-how; and
- improvements and derivative works relating to the foregoing.
Customer's subscription provides a limited right to use Bruno IQ. It does not transfer ownership of Bruno IQ technology to Customer.
17.2 Limited License
Subject to Customer's payment of applicable fees and compliance with this Agreement, Bruno IQ grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use Bruno IQ during Customer's authorized subscription period solely for Customer's internal hiring activities at the subscribed location.
17.3 Bruno IQ-Generated Reports
During an authorized subscription, Customer may use, internally reproduce, and download reports, scores, summaries, evaluations, interview materials, and similar outputs Bruno IQ generates for Customer's legitimate internal hiring purposes.
This right does not grant Customer ownership of the underlying Bruno IQ technology, methodologies, algorithms, models, scoring systems, prompts, or platform.
17.4 Feedback
If Customer provides ideas, recommendations, suggestions, enhancement requests, or other feedback concerning Bruno IQ, Customer grants Bruno IQ the unrestricted right to use that feedback to develop, improve, market, or operate Bruno IQ without compensation or obligation to Customer.
18. RESTRICTIONS AND ACCEPTABLE USE
Customer may not, directly or indirectly:
- copy or reproduce Bruno IQ except as expressly permitted;
- reverse engineer, decompile, disassemble, or attempt to discover Bruno IQ source code;
- attempt to discover or extract proprietary prompts, algorithms, models, scoring methodologies, or system instructions;
- scrape Bruno IQ or use unauthorized automated tools to extract data from the platform;
- circumvent usage limits, location restrictions, subscription requirements, or security measures;
- use Bruno IQ to develop, train, benchmark, or materially assist a competing hiring intelligence, applicant-screening, or employment-evaluation product;
- resell, sublicense, rent, lease, white-label, or commercially redistribute Bruno IQ without written authorization;
- use Bruno IQ on behalf of unauthorized third-party clients;
- use Bruno IQ to unlawfully discriminate;
- use Bruno IQ to harass, threaten, defraud, impersonate, or deceive another person;
- upload malicious code, malware, viruses, or other harmful materials;
- attempt to gain unauthorized access to Bruno IQ or related systems;
- interfere with the operation or security of Bruno IQ;
- unlawfully collect, disclose, sell, or misuse applicant information;
- violate an applicant's privacy rights;
- use Bruno IQ in violation of applicable employment, privacy, recording, AI, or data-protection laws; or
- use Bruno IQ for any unlawful, fraudulent, or abusive purpose.
Bruno IQ may investigate suspected violations and may suspend or terminate access when Bruno IQ reasonably believes Customer has violated this Section.
19. INTERNATIONAL USE
19.1 International Applicants
Bruno IQ may be used to evaluate applicants located in the United States and, where supported by Bruno IQ, applicants located internationally.
At present, Bruno IQ's supported international recruiting services are focused on applicants in the Philippines.
Bruno IQ may expand, restrict, or modify supported countries over time.
19.2 International Recruiting Services
Customer may have the option to purchase recruiting or candidate-sourcing assistance for international applicants.
Such recruiting, sourcing, managed workforce, employment, payroll, or related services are separate from the standard Bruno IQ software subscription and may be subject to a separate agreement, order form, pricing structure, or terms of service.
Purchase of a Bruno IQ software subscription does not automatically include managed workforce or international recruiting services.
19.3 Customer's International Compliance Responsibilities
Unless expressly assumed by Bruno IQ under a separate written managed-service agreement, Customer remains responsible for matters including:
- employment-law compliance;
- worker classification;
- immigration requirements;
- work authorization;
- tax obligations;
- payroll requirements;
- compensation requirements;
- benefits;
- local labor requirements; and
- other laws applicable to Customer's engagement of an international worker.
Bruno IQ software does not provide legal, tax, immigration, or employment advice concerning international workers.
20. THIRD-PARTY SERVICES
Bruno IQ may rely upon third-party providers to operate portions of the service, including providers of:
- cloud infrastructure;
- artificial intelligence technology;
- video or audio processing;
- transcription;
- communications;
- email;
- payment processing;
- analytics;
- security; and
- other technical infrastructure.
Customer authorizes Bruno IQ to use appropriate third-party service providers and subprocessors as reasonably necessary to provide the service.
Bruno IQ is not responsible for outages, delays, errors, interruptions, or failures caused by third-party systems outside Bruno IQ's reasonable control.
Use of certain optional third-party services may also be subject to the third party's own terms.
21. PLATFORM AVAILABILITY AND SUPPORT
21.1 No Uptime Guarantee
Unless Bruno IQ expressly agrees otherwise in a separate written enterprise agreement or service-level agreement, Bruno IQ does not provide a contractual uptime guarantee.
21.2 Maintenance and Interruptions
Bruno IQ may temporarily limit or interrupt access because of:
- maintenance;
- updates;
- security work;
- infrastructure changes;
- third-party outages;
- internet failures;
- emergency maintenance; or
- circumstances outside Bruno IQ's reasonable control.
Bruno IQ will use commercially reasonable efforts to maintain the service but does not guarantee uninterrupted or error-free operation.
21.3 Support
Standard Bruno IQ subscriptions include access to email and chat support.
Unless Bruno IQ expressly agrees otherwise in writing, Bruno IQ does not guarantee a specific support response or resolution time.
22. DISCLAIMERS
22.1 Service Provided “As Is”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BRUNO IQ IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
BRUNO IQ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Bruno IQ does not warrant that the platform will be uninterrupted, error-free, completely secure, or free from defects.
22.2 AI and Generated Output
Customer acknowledges that artificial intelligence and automated technologies may produce inaccurate, incomplete, inconsistent, misleading, or otherwise incorrect outputs.
Bruno IQ does not warrant or guarantee the accuracy of:
- scores;
- rankings;
- transcripts;
- summaries;
- evaluations;
- recommendations;
- comparisons;
- generated interview questions;
- identified inconsistencies;
- applicant analyses; or
- other AI-generated or automated output.
Customer must apply reasonable human review before relying upon Bruno IQ output.
22.3 No Employment Outcome Warranty
Bruno IQ makes no representation or warranty concerning an applicant's:
- qualifications;
- truthfulness;
- suitability;
- character;
- work history;
- future performance;
- productivity;
- reliability;
- retention;
- conduct; or
- success as an employee.
Bruno IQ does not guarantee that Customer will make a successful hire or avoid an unsuccessful hire.
22.4 No Compliance Guarantee
Bruno IQ may provide features designed to support structured and responsible hiring practices, but Bruno IQ does not guarantee that Customer's use of the platform or hiring process complies with every law applicable to Customer.
Customer remains responsible for its hiring practices and legal obligations.
23. CUSTOMER INDEMNIFICATION
23.1 Customer Indemnity
To the maximum extent permitted by applicable law, Customer will defend, indemnify, and hold harmless Filibruno LLC, Bruno IQ, and their respective owners, officers, directors, employees, contractors, affiliates, licensors, and agents from and against third-party claims, actions, proceedings, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys' fees arising out of or relating to:
- Customer's hiring, rejection, advancement, interviewing, employment, termination, compensation, or other employment decisions;
- allegations of discrimination, retaliation, harassment, or unlawful employment practices attributable to Customer;
- Customer's hiring criteria or instructions;
- Customer's failure to conduct appropriate human review;
- Customer's unlawful or unauthorized use of Bruno IQ;
- Customer's violation of this Agreement;
- Customer's violation of applicable law;
- Customer's failure to provide a notice, disclosure, consent, accommodation, or alternative process required of Customer;
- Customer's collection, use, disclosure, or misuse of applicant information;
- Customer Content;
- Customer's use of Bruno IQ on behalf of an unauthorized business, location, or third party; or
- Customer's infringement or violation of another person's rights.
23.2 Bruno IQ Responsibility
Customer will not be required to indemnify Bruno IQ to the extent a claim is finally determined to have resulted directly from Bruno IQ's own willful misconduct, fraud, or violation of law for which liability cannot legally be shifted to Customer.
23.3 Indemnification Procedure
Bruno IQ will provide Customer reasonable notice of a claim for which indemnification is sought.
Customer may control the defense of the claim with counsel reasonably acceptable to Bruno IQ, provided that Customer may not enter into a settlement that:
- admits wrongdoing by Bruno IQ;
- imposes liability or obligations upon Bruno IQ; or
- materially affects Bruno IQ's rights
without Bruno IQ's prior written consent.
Bruno IQ may participate in the defense with counsel of its choosing at its own expense.
24. LIMITATION OF LIABILITY
24.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILIBRUNO LLC AND BRUNO IQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO BRUNO IQ OR THIS AGREEMENT.
This exclusion includes, where legally permitted, damages for:
- lost profits;
- lost revenue;
- lost business;
- lost opportunities;
- loss of goodwill;
- loss of anticipated savings;
- business interruption;
- loss or corruption of data; or
- employment or hiring outcomes,
even if Bruno IQ has been advised that such damages are possible.
24.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF FILIBRUNO LLC AND BRUNO IQ ARISING OUT OF OR RELATING TO THE PLATFORM, THIS AGREEMENT, OR CUSTOMER'S USE OF BRUNO IQ WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER TO BRUNO IQ DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
If Customer has used Bruno IQ for fewer than twelve months, the cap will equal the fees actually paid by Customer during the period of use.
24.3 Essential Allocation of Risk
Customer acknowledges that the pricing for Bruno IQ reflects the allocation of risk contained in this Agreement and that Bruno IQ would not provide the service on the same economic terms without these limitations.
Some jurisdictions do not permit certain limitations of liability. Where a limitation is prohibited, it will apply only to the maximum extent permitted by law.
25. SUSPENSION AND TERMINATION
25.1 Suspension
Bruno IQ may immediately suspend or restrict Customer's access if Bruno IQ reasonably believes:
- payment has failed;
- Customer has initiated a fraudulent or improper chargeback;
- Customer has violated this Agreement;
- Customer is misusing applicant information;
- Customer is engaging in unlawful or discriminatory activity;
- Customer's account presents a security threat;
- Customer is attempting to circumvent subscription or location restrictions;
- Customer is improperly sharing access;
- Customer is engaging in unauthorized agency, resale, or competitive use;
- continued access could expose Bruno IQ, an applicant, Customer, or another person to material harm; or
- suspension is reasonably necessary to comply with law.
Where appropriate, Bruno IQ may provide Customer an opportunity to cure the issue.
25.2 Termination for Cause
Bruno IQ may terminate Customer's account for a material violation of this Agreement, nonpayment, fraud, abuse, unlawful activity, repeated violations, or conduct that materially threatens Bruno IQ or its users.
Termination for Customer's breach does not entitle Customer to a refund.
25.3 Termination Without Cause
Bruno IQ may discontinue a Customer's subscription without cause by providing reasonable notice.
If Bruno IQ terminates a prepaid subscription without cause before the end of the paid subscription period, Bruno IQ will provide a prorated refund or credit for the unused prepaid base subscription period.
This provision does not require a refund where termination results from Customer's breach, misconduct, nonpayment, abuse, or violation of law.
25.4 Discontinuation of Service
Bruno IQ may modify or discontinue the platform or a material portion of it.
If Bruno IQ permanently discontinues the core paid service during a Customer's prepaid subscription term and does not provide a substantially comparable replacement, Bruno IQ may provide a prorated refund or credit for the affected unused prepaid period.
26. DISPUTE RESOLUTION AND BINDING ARBITRATION
26.1 Informal Resolution First
Before initiating arbitration or litigation, the parties agree to attempt in good faith to resolve the dispute informally.
The party asserting a dispute must provide written notice describing the dispute and requested resolution.

The parties will have thirty (30) days after receipt of the dispute notice to attempt informal resolution before commencing arbitration, unless immediate injunctive relief is reasonably necessary.
26.2 Binding Individual Arbitration
Except for disputes expressly excluded below, any dispute, claim, or controversy arising out of or relating to this Agreement, Bruno IQ, Customer's subscription, or Customer's use of the platform that cannot be resolved informally will be resolved through binding arbitration on an individual basis rather than in court.
The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable commercial arbitration rules.
Unless the parties agree otherwise or applicable law requires another location, arbitration may be conducted remotely by video, telephone, written submissions, or other appropriate means.
The arbitrator will have authority to award remedies available under applicable law, subject to the limitations contained in this Agreement to the extent enforceable.
26.3 Exceptions
Either party may seek relief in a court of competent jurisdiction for:
- infringement or misappropriation of intellectual property;
- unauthorized access to or misuse of systems;
- misuse of confidential information;
- requests for temporary or preliminary injunctive relief; or
- matters legally ineligible for arbitration.
Either party may also pursue an eligible claim in small claims court if the claim remains within that court's jurisdiction.
27. CLASS-ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUSTOMER AND BRUNO IQ AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS.
NEITHER PARTY MAY BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, MASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING AGAINST THE OTHER PARTY.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.
If a court determines that a particular portion of this class-action waiver is unenforceable for a specific claim or remedy, that claim or remedy will proceed in the appropriate court after all arbitrable claims have been resolved, to the extent permitted by law.
28. JURY-TRIAL WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOR ANY DISPUTE THAT IS PERMITTED TO PROCEED IN COURT RATHER THAN ARBITRATION, CUSTOMER AND BRUNO IQ KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.
29. GOVERNING LAW
This Agreement is governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles.
For any dispute permitted to proceed in court, the parties consent to the personal jurisdiction of the applicable state or federal courts located in Wyoming, unless applicable law requires otherwise.
30. ATTORNEYS' FEES
Except where this Agreement expressly provides otherwise, where indemnification obligations apply, or where applicable law permits or requires an award of attorneys' fees, each party will bear its own attorneys' fees and legal costs in connection with a dispute.
31. CONFIDENTIALITY
Each party may receive non-public information belonging to the other party in connection with the relationship.
Each party agrees to use reasonable measures to protect the other party's confidential information and to use such information only for purposes related to the parties' relationship.
Confidential information does not include information that:
- becomes publicly available without breach of this Agreement;
- was lawfully known without confidentiality restrictions;
- is independently developed without use of the other party's confidential information; or
- is lawfully received from a third party without confidentiality obligations.
A party may disclose confidential information when required by law, subpoena, court order, or governmental authority, subject to legally permitted notice to the other party where appropriate.
32. CUSTOMER NAMES, LOGOS, AND AGGREGATED RESULTS
32.1 Customer Identification
Customer grants Bruno IQ permission to identify Customer as a Bruno IQ customer and to display Customer's business name and logo in reasonable customer lists, presentations, sales materials, and marketing materials.
Customer may revoke this permission for future use by providing written notice to Bruno IQ.
32.2 Testimonials and Case Studies
Bruno IQ will obtain Customer's permission before publishing an identifiable testimonial, endorsement, detailed case study, or Customer-specific performance story attributed to Customer.
32.3 Aggregated Information
Bruno IQ may publish aggregated or de-identified statistics, trends, benchmarks, and insights derived from use of the platform provided that the published information does not reasonably identify Customer or an individual applicant.
33. CHANGES TO THIS AGREEMENT
Bruno IQ may update this Agreement from time to time.
If Bruno IQ makes a material change, Bruno IQ will provide reasonable notice through email, the platform, Customer's account, or another reasonable electronic method.
Unless a different effective date is stated, updated terms will become effective after the applicable notice period.
Customer's continued use of Bruno IQ after updated terms become effective constitutes acceptance of the updated Agreement.
If Customer does not agree to a material update, Customer may discontinue use and cancel future renewal, subject to the existing terms applicable to prepaid amounts.
34. ELECTRONIC COMMUNICATIONS AND NOTICES
Customer agrees that Bruno IQ may provide contractual notices, billing communications, service notices, policy updates, and other communications electronically.
Communications may be delivered through:
- email;
- Customer's account;
- in-platform notifications; or
- other reasonable electronic methods.
Customer is responsible for maintaining accurate account and contact information.
Formal legal notices to Bruno IQ may be sent to:

35. ENTERPRISE AND SEPARATE SERVICE AGREEMENTS
Bruno IQ may enter into separate agreements with enterprise Customers, franchisors, multi-location organizations, referral partners, managed-service Customers, or other Customers receiving customized services.
If Customer and Bruno IQ execute a separate written order form, master services agreement, enterprise agreement, managed-service agreement, or other agreement that expressly governs a particular service or term, the separately executed agreement will control over this Agreement to the extent of an express conflict.
Bruno IQ's international recruiting, managed workforce, employment, payroll, or other human-delivered services may require separate agreements and are not governed solely by this software Agreement.
36. ASSIGNMENT
Customer may not assign or transfer this Agreement, its subscription, or its rights to Bruno IQ without Bruno IQ's prior written consent.
Bruno IQ may assign this Agreement in connection with:
- a merger;
- acquisition;
- corporate reorganization;
- sale of substantially all assets;
- financing transaction;
- sale of Bruno IQ or the applicable business; or
- transfer to an affiliate or successor.
This Agreement will bind and benefit permitted successors and assigns.
37. FORCE MAJEURE
Bruno IQ will not be liable for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- severe weather;
- fire;
- war;
- terrorism;
- civil unrest;
- governmental action;
- labor disruption;
- internet or telecommunications failures;
- cloud-provider failures;
- third-party infrastructure failures;
- widespread cybersecurity incidents; or
- other events beyond Bruno IQ's reasonable control.
38. SEVERABILITY
If any provision of this Agreement is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent legally permitted.
The remaining provisions will remain in effect.
39. WAIVER
A party's failure to enforce a provision of this Agreement does not waive that provision or the party's right to enforce it later.
A waiver is effective only to the extent expressly stated.
40. ENTIRE AGREEMENT
This Agreement, together with Bruno IQ's applicable Privacy Policy, checkout terms, order forms, and any separately executed agreements expressly incorporated by reference, constitutes the agreement between Bruno IQ and Customer concerning Customer's use of the platform.
It supersedes prior or contemporaneous discussions, representations, or agreements concerning the same subject matter, except for separately executed agreements that expressly remain applicable.
41. ELECTRONIC ACCEPTANCE
Customer agrees that electronic acceptance of this Agreement has the same legal effect as a handwritten signature.
The individual accepting this Agreement represents and warrants that the individual has authority to bind the business or organization identified in the Bruno IQ account.
Customer agrees that Bruno IQ may maintain electronic records documenting:
- acceptance of this Agreement;
- the version accepted;
- date and time of acceptance;
- account information associated with acceptance; and
- other information reasonably necessary to establish Customer's agreement.
42. CONTACT INFORMATION
Bruno IQ is operated by:

43. CUSTOMER ACKNOWLEDGMENT
BY ACCEPTING THIS AGREEMENT, CUSTOMER ACKNOWLEDGES THAT:
- Bruno IQ is an AI-powered hiring intelligence and decision-support platform;
- Bruno IQ does not make Customer's hiring, advancement, or rejection decisions;
- Customer remains responsible for all employment decisions;
- AI-generated outputs may contain errors and require reasonable human review;
- Bruno IQ does not guarantee applicant performance, retention, suitability, or hiring outcomes;
- Customer is responsible for complying with laws applicable to its hiring practices and use of Bruno IQ;
- Customer has reviewed the subscription pricing, renewal, cancellation, overage, and refund terms;
- Customer understands that the Agreement contains limitations of liability, indemnification obligations, and dispute-resolution provisions; and
- the individual accepting this Agreement has authority to bind Customer.
